Financial technology company OPay has secured approval from its board and shareholders to pursue a secondary listing on the Nigerian Exchange Limited. This significant step marks the beginning of the OPay NGX listing process.
According to The Guardian, the proposed listing would follow the company’s planned initial public offering on the New York Stock Exchange. This offering will take place in the United States.
The development could provide Nigerian investors with an opportunity to purchase shares in the fintech company through the domestic stock market.
OPay disclosed the plan in a Form F-1 registration statement. This statement was filed with the United States Securities and Exchange Commission on October 9, 2026.
OPay outlines conditions for Nigerian listing
The company explained that the proposed secondary listing would depend on market conditions and compliance with Nigerian regulatory requirements.
These include the Investments and Securities Act 2025, Securities and Exchange Commission regulations and NGX listing rules.
OPay also warned that shares traded in Nigeria might not be directly interchangeable with its American Depositary Shares. These shares are listed in the United States.
Without an arrangement allowing transfers between the two markets, investors could experience differences in share prices and trading conditions.
The company has applied to list its American Depositary Shares on the New York Stock Exchange under the ticker symbol OPAY.
However, the proposed US offering remains subject to final regulatory and exchange approvals.
The planned Nigerian listing represents another development in OPay’s expansion into international capital markets.
Neither the American offering nor the Nigerian secondary listing has been completed.
